Section 1. General

1.1
The following conditions apply to all offers from VRL WAX, to all agreements concluded by VRL WAX and to all work, actions and/or services performed by VRL WAX. These conditions are provided to the Consumer by virtue of the requirements attached to them by law and are deemed to be known to the Consumer.

1.2
In addition to these General Terms and Conditions, VRL WAX may apply additional terms and conditions that specifically apply to the type of transaction or the nature of the work. These additional terms and conditions form part of these General Terms and Conditions.

1.3
The conditions stated herein shall at all times prevail over those of the Consumer, regardless of whether the Consumer's conditions conflict with or deviate from the conditions of VRL WAX. The applicability of any general terms and conditions - under whatever name - of the Consumer is expressly rejected.

1.4
Once these General Terms and Conditions have applied to the legal relationship between VRL WAX and the Consumer, the Consumer is deemed to have agreed in advance to the applicability of these terms and conditions to the contracts concluded or to be concluded subsequently.

Section 2. Definitions

  1. General terms and conditions: the present General Terms and Conditions of VRL WAX;
  2. Cooling-off Period: the period within which the Consumer can exercise his right of withdrawal;
  3. Consumer: the natural person who does not act in the exercise of a profession or business and enters into a distance contract with VRL WAX;
  4. Day: calendar day;
  5. Durable data carrier: any means that enables the Consumer or VRL WAX to store information addressed to them personally in a manner that allows future consultation and unaltered reproduction of the stored information;
  6. Right of withdrawal: the option for the Consumer to cancel the distance contract within the Cooling-Off Period;
  7. Model form: the model withdrawal form made available by VRL WAX that a Consumer can complete when they wish to exercise their right of withdrawal;
  8. Distance agreement: the agreement in which, within the framework of a system organized by VRL WAX for the distance sale of products and/or services, exclusive use is made of one or more techniques for distance communication up to and including the conclusion of the agreement;
  9. Parties: VRL WAX and Consumer together;
  10. Website: the website of VRL WAX.

Section 4. Applicability

4.1
These General Terms and Conditions apply to every offer from VRL WAX and to every agreement or Distance Agreement concluded and orders between VRL WAX and the Consumer.

4.2
Before the agreement or the Distance Agreement is concluded, the text of these General Terms and Conditions will be made available to the Consumer. If this is not reasonably possible, before the agreement or the Distance Agreement is concluded, it will be indicated that the General Terms and Conditions can be viewed at VRL WAX and on its Website and that they will be sent free of charge as soon as possible at the request of the Consumer.

4.3
If the agreement or the Distance Agreement is concluded electronically, notwithstanding the previous paragraph and before the agreement or the Distance Agreement is concluded, the text of these General Terms and Conditions can be made available to the Consumer electronically by VRL WAX in such a way that it can be easily stored by the Consumer on a Durable data carrier. If this is not reasonably possible, before the agreement or the Distance Agreement is concluded, VRL WAX will indicate where the General Terms and Conditions can be viewed electronically and that they will be available electronically or otherwise at the request of the Consumer will be sent free of charge.

4.4
In the event that, in addition to these General Terms and Conditions, specific product or service terms and conditions also apply, the second and third paragraphs apply mutatis mutandis and in the event of conflicting general terms and conditions, the Consumer may always rely on the applicable provision that is most favorable to them.

4.5
If one or more provisions in these General Terms and Conditions are at any time wholly or partially null and void or are annulled, the remainder of the agreement and these terms and conditions will remain in force and the provision in question will be immediately replaced in mutual consultation by a provision that approximates the purport of the original as closely as possible.

4.6
Situations that are not regulated in these General Terms and Conditions must be assessed 'in the spirit' of these General Terms and Conditions.

4.7
Any uncertainties regarding the interpretation or content of one or more provisions of these General Terms and Conditions must be interpreted 'in the spirit' of these General Terms and Conditions.

4.8
Electronic communications between parties are deemed to have been received on the day of sending, unless the contrary is proven.

4.9
VRL WAX is entitled at any time to unilaterally change the General Terms and Conditions in whole or in part. VRL WAX will notify the Consumer of such a change. If the Consumer believes that the new General Terms and Conditions are unacceptable, the Consumer must notify VRL WAX in writing within 5 (five) working days after notification, failing which the Consumer will be deemed to have irrevocably accepted the new General Terms and Conditions.

Section 5. The offer

5.1
If an offer has a limited period of validity or is made subject to conditions, this will be expressly stated in the offer.

5.2
The offer is without obligation. VRL WAX is entitled to change and adapt the offer.

5.3
The offer contains a complete and accurate description of the products and/or services offered. The description is sufficiently detailed to enable a proper assessment of the offer by the Consumer. If VRL WAX uses images, these are a true representation of the products and/or services offered. Obvious mistakes or errors in the offer do not commit VRL WAX.

5.4
All images, specifications and data in the offer are an indication and cannot give rise to compensation or termination of the agreement. This information is solely intended to provide the Consumer with an example.

5.5
Each offer contains such information that it is clear to the Consumer what the rights and obligations are, which are associated with acceptance of the offer. This concerns in particular:

  • the price including taxes;
  • the manner in which the agreement will be concluded and what actions are required for this;
  • whether or not the Right of Withdrawal applies;
  • the method of payment, delivery and execution of the agreement;
  • the period for acceptance of the offer, or the period within which VRL WAX guarantees the price;
  • the amount of the rate for distance communication if the costs of using the technology for distance communication are calculated on a basis other than the regular basic rate for the means of communication used;
  • whether the agreement is archived after its conclusion, and if so, how it can be consulted by the Consumer;
  • the way in which the Consumer, before concluding the agreement, can check the data provided by them in the context of the agreement and, if desired, rectify them;
  • any other languages ​​in which, in addition to Dutch, the agreement can be concluded.

Section 6. The Agreement

6.1
The purchase agreement is concluded at the time of acceptance by the Consumer of VRL WAX's offer and fulfilment of the conditions set out therein.

6.2
If the Consumer has accepted the offer electronically, VRL WAX will immediately confirm receipt of the acceptance of the offer electronically. As long as receipt of this acceptance has not been confirmed by the VRL WAX, the Consumer can dissolve the agreement.

6.3
If the agreement is concluded electronically, VRL WAX will take appropriate technical and organizational measures to secure the electronic transfer of data and ensure a safe web environment. If the Consumer can pay electronically, VRL WAX will take appropriate security measures.

6.4
VRL WAX may inform itself - within legal frameworks - about whether the Consumer can meet their payment obligations, as well as all those facts and factors that are important for a responsible conclusion of the distance contract. If, based on this investigation, VRL WAX has good reasons not to enter into the agreement, it is entitled to refuse an order or request with reasons or to attach special conditions to the execution, giving reasons.

6.5
VRL WAX will send the following information to the Consumer with the product or service, in writing or in such a way that it can be stored by the Consumer in an accessible manner on a Durable Data Carrier:

  • the conditions under which and the manner in which the Consumer can exercise the Right of Withdrawal, or a clear statement regarding the exclusion of the Right of Withdrawal;
  • the information about warranties and existing after-sales service.

6.6
Every agreement is entered into under the suspensive conditions of sufficient availability of the products in question.

6.7
VRL WAX has the right not to accept orders or assignments without giving reasons.

Section 7. Right of Withdrawal

7.1
When purchasing products, the Consumer has the option to terminate the agreement without giving reasons for a period of 30 days. This Cooling-off Period commences on the day after receipt of the product by the Consumer or a representative designated in advance by the Consumer and made known to VRL WAX. If the Consumer has ordered multiple products in the same order, the Cooling-off Period starts on the Day on which the Consumer, or a Third Party designated by him, has received the last product. VRL WAX may, provided it has clearly informed the Consumer of this prior to the ordering process, refuse an order for multiple products with different delivery times.

7.2
The following products are excluded from the Right of Withdrawal:

  • wax beans and other sealed products where the seal has been broken and where the specifications, features and nature of the product are fully clear in the packaging;
  • products that cannot be returned for hygiene or health reasons after the seal has been broken.

7.3
During the Cooling-Off Period, the Consumer will handle the product and packaging with care. The Consumer will only unpack or use the product to the extent necessary to assess whether they wish to keep the product. The basic principle here is that the Consumer may only handle and inspect the product as they would in a store. If depreciation of the product occurs as a result of a way of handling the product that goes beyond what is permitted in accordance with this article, the Consumer is liable for this depreciation. If the product is damaged or the packaging is damaged more than is necessary to sell the product, we can pass on this depreciation of the product to you.

7.4
Stricter rules regarding the Right of Withdrawal apply to hygiene products. Notwithstanding paragraph 3 of this article, the Consumer's Right of Withdrawal expires as soon as hygiene products are used by the buyer. VRL WAX reserves the right to assess whether a hygiene product has been used by the Consumer. The right of withdrawal expires in any case if the seal of hygiene products is broken. The Consumer is clearly informed of this exception to the Right of Withdrawal before the agreement is concluded and, in agreement with these General Terms and Conditions, agrees to waive the Right of Withdrawal as soon as they use the hygiene products. VRL WAX clearly indicates whether or not products are a hygiene product.

7.5
If the Consumer wishes to exercise their Right of Withdrawal, they are obliged to inform VRL WAX of this within 30 days of receipt of the product. The Consumer must make this known using the returns form on the Website. After the Consumer has indicated that they wish to exercise their Right of Withdrawal, the Consumer must return the product within 30 days. The burden of proof of timely return lies with the Consumer. For example, the Consumer must be able to prove to VRL WAX by means of proof of shipment that the Consumer has returned the item on time.

7.6
If the Consumer exercises their Right of Withdrawal, they will return the product to VRL WAX with all delivered accessories and - if reasonably possible - in the original condition and packaging, in accordance with the reasonable and clear instructions provided by VRL WAX.

7.7
The Consumer bears the direct costs of returning the product, unless VRL WAX expressly states otherwise in writing. If a Consumer from the Netherlands or Belgium wishes to exercise their Right of Withdrawal, VRL WAX will bear the costs of return shipping if the Consumer uses the return label that the Consumer can request on the VRL WAX Website. The costs of returns for Consumers in other European countries will be borne by the Consumer.

7.8
VRL WAX uses the same payment method for reimbursement as the Consumer used, unless the Consumer agrees to a different method. The refund is free of charge for the Consumer. The refund will be made within 14 days.

7.9
If, after the Cooling-off Period in accordance with this article, the Consumer has not indicated that they wish to exercise their Right of Withdrawal or has not returned the product to VRL WAX, the purchase is final.

7.10
VRL WAX may ask the Consumer about the reason for withdrawal, but the Consumer is not obliged to state their reason(s).

Section 8. Compliance and warranty

8.1
VRL WAX guarantees that the products and/or services comply with the agreement, the specifications stated in the offer, the reasonable requirements of reliability and/or usability and the legal provisions existing on the date of the conclusion of the agreement and/or government regulations.

8.2
The warranty referred to in the first paragraph only applies to normal use of the product/service.

8.3
An additional warranty provided by VRL WAX or its supplier, manufacturer or importer never limits the legal rights and claims that the Consumer can assert against VRL WAX under the purchase agreement if VRL WAX has failed to fulfill its part of the agreement. An additional guarantee means any obligation of VRL WAX, its supplier, importer or producer in which it grants the Consumer certain rights or claims that go further than what it is legally obliged to do in the event that it has failed to fulfill its part of the agreement.

8.4
Any defects or incorrectly delivered products must be reported to VRL WAX in writing within 2 months of delivery. Products must be returned in the original packaging and in like-new condition.

8.5
The warranty period of VRL WAX corresponds to the manufacturer's warranty period. However, VRL WAX is never responsible for the ultimate suitability of the products for each individual application by the Consumer, nor for any advice regarding the use or application of the products.

8.6
The warranty does not apply if:

  • the Consumer has repaired and/or modified the delivered products themselves or has had them repaired and/or modified by third parties;
  • the delivered products have been exposed to abnormal conditions or have otherwise been treated carelessly or contrary to the instructions of VRL WAX and/or the packaging;
  • the defect is wholly or partly the result of regulations that the government has imposed or will impose with regard to the nature or quality of the materials used.

Section 9. The price

9.1
During the period of validity stated in the offer, the prices of the products and/or services offered will not be increased, except for price changes as a result of changes in VAT rates.

9.2
Notwithstanding the previous paragraph, VRL WAX may offer products or services with variable prices, the prices of which are subject to fluctuations in the financial market and over which the Consumer has no influence. This connection to fluctuations and the fact that any prices stated are target prices are stated in the offer.

9.3
The prices stated in the offer of products or services include VAT.

9.4
All prices are subject to printing and typographical errors. No liability is accepted for the consequences of printing and typographical errors. In the event of printing and typographical errors, VRL WAX is not obliged to deliver the product or service at the incorrect price.

Section 10. Delivery and execution

10.1
Delivery takes place while stocks last.

10.2
VRL WAX will exercise the utmost care when receiving and executing orders for products.

10.3
Delivery costs for orders from the Consumer will be borne by the Consumer, unless VRL WAX expressly states otherwise in writing. Delivery costs for orders sent to an address in the Netherlands or Belgium are borne by VRL WAX. The costs of delivery for Consumers in other European countries are borne by the Consumers themselves. The delivery costs become immediately visible as soon as the Consumer enters the shipping location during the checkout process on the Website.

10.4
The place of delivery is the address that the Consumer has communicated to VRL WAX. The Consumer is responsible for providing the delivery information correctly. If incorrect address details have been provided by the Consumer, VRL WAX will not be held liable for the costs this entails.

10.5
VRL WAX will execute accepted orders expeditiously, but no later than 30 days after ordering, unless a different delivery period has been agreed.

10.6
If the agreed amounts are not paid (in full) or not on time, VRL WAX has the right to suspend its obligations until the agreed part has been paid. Late payment constitutes creditor default, with the result that the Consumer cannot object to VRL WAX for late delivery.

10.7
The risk of damage and/or loss of products - other than as a result of incorrect provision of address details by the Consumer in accordance with paragraph 2 of this article - rests with VRL WAX until the moment of delivery to the Consumer or a representative designated in advance and made known to VRL WAX, unless expressly agreed otherwise.

10.8
If the Consumer is of the opinion that they have received the product damaged, the Consumer must report this in writing to VRL WAX within 7 days of receipt, submitting supporting documents, for example in the form of clear photos. The Consumer must ensure that no further damage occurs to the product. As soon as VRL WAX has taken note of this message of a damaged product, VRL WAX will assess whether there is actually damage. If this is the case, VRL WAX will send a new product to the Consumer at its own expense.

10.9
Taking into account what is stated in paragraph 7 of this article, VRL WAX will execute accepted orders expeditiously, but no later than within 30 days, unless the Consumer has agreed to a longer delivery period. If delivery is delayed, or if an order cannot be fulfilled or can only be partially fulfilled, the Consumer will be notified of this no later than 30 days after the order was placed. In that case, the Consumer has the right to terminate the agreement without costs. The Consumer is not entitled to damages.

10.10
All delivery times are indicative. The Consumer cannot derive any rights from any stated periods. Exceeding a period does not entitle the Consumer to compensation.

10.11
If delivery of an ordered product proves to be impossible, VRL WAX will make every effort to make a replacement item available. No later than upon delivery, it will be stated in a clear and understandable manner that a replacement item will be delivered. For replacement items, the Right of Withdrawal can not be excluded. The costs of any return shipment will be borne by VRL WAX.

10.12
If the Consumer receives products from VRL WAX that the Consumer has not ordered, the Consumer is obliged to return these products to VRL WAX as soon as possible. The Consumer will make every effort to return these products to VRL WAX within 7 days. The Consumer will return the products unopened and in the same manner as they were received. The Consumer will send the package by registered mail and provide proof of shipment to VRL WAX. The Consumer will also provide VRL WAX with a copy of the shipping costs. VRL WAX will reimburse the Consumer for the shipping costs immediately, at the latest within 2 working days.

Section 11. Packaging and Shipping

11.1
VRL WAX products are delivered (if and to the extent possible) with information about the relevant products on the packaging / label / leaflet / instructions / other enclosed information. VRL WAX will make every effort to provide this information as clearly and completely as possible.

11.2
Some products are offered by VRL WAX in different variants. An example of this is the VRL wax beans. These different variants can be offered by VRL WAX in (similar) packaging. During the ordering process, the differences between the different variants are clearly stated by VRL WAX and the Consumer makes a purchase choice based on this information. VRL WAX will ensure delivery of the correct product and the Consumer will investigate immediately after receiving the products whether the correct product has been received. If the Consumer has doubts about the correctness of the product received, or finds that an incorrect product has been sent, the Consumer will immediately contact VRL WAX.

11.3
If the packaging of a delivered product is opened or damaged, the Consumer must have the delivery person make a note of this before accepting the delivery, failing which VRL WAX cannot be held liable for any damage.

11.4
If the Consumer arranges the transport of a product themselves, they must report any visible damage to products or packaging to VRL WAX prior to transport, failing which VRL WAX cannot be held liable for any damage.

Section 12. Dissolution

12.1
The parties are entitled to terminate the concluded agreement, therefore without notice of default or judicial intervention and without becoming liable for damages, when:

  • the bankruptcy of one of the Parties has been declared or the application of the Debt Restructuring of Natural Persons Act has been declared;
  • the Consumer applies for or is granted a suspension of payments;
  • the Consumer loses authority over their assets or a substantial part thereof due to seizure or otherwise;
  • VRL WAX has legitimate reasons to doubt the Consumer's ability to fulfill its obligations (in a timely manner).

12.2
If the case as described above occurs, the claim against the Consumer will be immediately due and payable.

Section 13. Payment

13.1
The Consumer must select a payment method via the Website. As soon as the order for the product has been confirmed by the Consumer, the Consumer has accepted the payment obligation.

13.2
The Consumer has the obligation to immediately report any inaccuracies in payment details provided or stated to VRL WAX.

13.3
In the event of non-payment by the Consumer, VRL WAX has the right, subject to legal restrictions, to charge the reasonable costs communicated to the Consumer in advance.

13.4
If the Consumer does not meet its payment obligation(s) on time, after VRL WAX has notified the Consumer of the overdue payment and VRL WAX has given the Consumer a period of 14 Days to still meet their payment obligations, after non-payment within this 14-Day period, the Consumer shall owe the statutory interest on the amount still due and VRL WAX is entitled to charge the extrajudicial collection costs it has incurred.

13.5
The collection costs as mentioned above amount to a maximum of 15% on outstanding amounts up to € 2,500.00, 10% on the subsequent € 2,500.00 and 5% on the next € 5,000.00 with a minimum of
€40.00. VRL WAX may deviate from the stated amounts and percentages for the benefit of the Consumer.

Section 14. Force Majeure

14.1
Situations in which VRL WAX cannot fulfill its obligations under the agreement concluded with the Consumer, or cannot do so in a timely manner or without additional efforts and/or costs that it deems to be burdensome due to unforeseen circumstances, will be regarded as situations of force majeure. Unforeseen circumstances include:

  • mobilization, war, riots, terrorism;
  • a day of national mourning;
  • quota or other government measures;
  • work strike;
  • outbreak of a pandemic/epidemic;
  • natural disasters;
  • illness of VRL WAX employees
  • failure by a Third Party, on whom VRL WAX is dependent for the execution of the agreement with the Consumer, to fulfill its obligations towards VRL WAX, or to do so on time or properly.

14.2
Taking into account the articles of the General Terms and Conditions, VRL WAX is entitled in the event of force majeure:

  • either to (partially) terminate the agreement with the Consumer, by means of a simple written notification to the Consumer, therefore without judicial intervention and without VRL WAX becoming liable to pay damages to the Consumer.
  • or, in consultation with the Consumer, postpone the execution of the agreement to a new time or new date. To the extent that this involves additional work, the provisions regarding additional work from these terms and conditions apply.

Section 15. Complaints procedure

15.1
VRL WAX has a sufficiently publicized complaints procedure and handles the complaint in accordance with this complaints procedure. Complaints about the execution of the agreement must be submitted fully and clearly described to VRL WAX within 2 months after the Consumer has discovered the defects.

15.2
Complaints submitted to VRL WAX will be answered within 14 days from the date of receipt. If a complaint requires a foreseeably longer processing time, VRL WAX will respond within 14 days with an acknowledgment of receipt and an indication of when the Consumer can expect a more detailed answer.

15.3
If the complaint cannot be resolved by mutual agreement, a dispute arises that is subject to the dispute settlement procedure.

15.4
In case of complaints, a Consumer must first contact VRL WAX. If the online store is affiliated with WebwinkelKeur and for complaints that cannot be resolved by mutual agreement, the Consumer must contact WebwinkelKeur (www.webwinkelkeur.nl), who will mediate free of charge. Check whether this online store has a current membership via https://www.webwinkelkeur.nl/ledenlijst/. If a solution is not yet found, the Consumer has the option to have their complaint handled by the independent dispute committee appointed by WebwinkelKeur, the decision of which is binding and both VRL WAX and the Consumer agree to this binding decision. Submitting a dispute to this dispute committee involves costs that must be paid by the Consumer to the relevant committee. It is also possible to submit complaints via the European ODR platform (https://ec.europa.eu/odr).

15.5
A complaint does not suspend the obligations of VRL WAX, unless VRL WAX indicates otherwise in writing.

15.6
If a complaint is found to be justified by VRL WAX, VRL WAX will, at its discretion, either replace or repair the delivered products free of charge.

Section 16. Disputes

16.1
Contracts between VRL WAX and the Consumer to which these General Terms and Conditions apply are exclusively governed by Dutch law. Even if the Consumer lives abroad.

16.2
Disputes arising from contracts with VRL WAX must be submitted to the Dutch Court in the district in which VRL WAX has its registered office, unless legal rules do not allow this.

Section 17. Additional or deviating provision

17.1
Additional or deviating provisions from these General Terms and Conditions may not be to the detriment of the Consumer and must be recorded in writing or in such a way that they can be stored by the Consumer in an accessible manner on a Durable data carrier.
